ZinkUp Terms of Service

Welcome to ZinkUp! These Terms of Service ("Terms") govern your access to and use of ZinkUp's services, website, and applications (collectively, the "Service"). By using ZinkUp, you agree to these Terms.
1. About ZinkUp
ZinkUp is a music collaboration platform that helps music producers and artists organize, share, and collaborate on music projects. We provide tools for managing DAW files, sharing audio bounces, and enabling collaboration through features like region-based commenting and playback controls.
2. Eligibility
You must be at least 13 years old to use ZinkUp. If you are under 18, you must have permission from a parent or guardian. By using ZinkUp, you represent that you meet these requirements.
3. Your Account
Account Creation:
You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials.
Account Responsibility:
You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized access.
Account Termination:
You may terminate your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree to use ZinkUp only for lawful purposes. You may not:
- Upload or share content that infringes on others' intellectual property rights
- Use the Service to distribute malware, viruses, or harmful code
- Attempt to gain unauthorized access to other users' accounts or projects
- Use the Service to harass, abuse, or harm others
- Scrape, data mine, or attempt to reverse engineer the Service
- Upload illegal content or content that violates others' rights
- Share account credentials or allow unauthorized access to your account
5. Content and Intellectual Property
Your Content:
You retain all ownership rights to the music files, projects, and content you upload to ZinkUp ("Your Content"). By using ZinkUp, you grant us a limited license to store, display, and transmit Your Content solely to provide the Service to you and your collaborators.
ZinkUp's Property:
The ZinkUp platform, including its design, features, code, and branding, is owned by ZinkUp and protected by intellectual property laws. You may not copy, modify, or distribute our platform without permission.
Collaborator Access:
When you share projects or bounces with collaborators, you grant them access to view, download, and comment on that content according to the permissions you set.
6. Third-Party Services
ZinkUp integrates with third-party services, including Dropbox. Your use of these services is subject to their respective terms and policies. We are not responsible for the functionality, security, or policies of third-party services.
Dropbox Integration:
ZinkUp accesses your Dropbox files only with your explicit permission and only to provide our Service. We sync files from designated folders and do not access other areas of your Dropbox account.
7. Subscriptions and Payments
Beta Phase:
During our beta phase, pricing and subscription terms may change. We will provide notice of any changes.
Subscription Plans:
ZinkUp offers free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually).
Payment Processing:
Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method.
Refunds:
Refund policies will be clearly stated at the time of purchase. Generally, subscription fees are non-refundable except as required by law.
Cancellation:
You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period.
Price Changes:
We may change subscription prices with at least 30 days' notice. Continued use after price changes constitutes acceptance.
8. Data Storage and File Management
Storage Limits:
Each subscription tier has storage and project limits. Exceeding these limits may require upgrading your plan.
File Deletion:
You are responsible for maintaining backups of your files. While we strive for reliability, we are not responsible for data loss.
Service Availability:
We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects Service availability.
9. Beta Software Disclaimer
ZinkUp is currently in beta. The Service may contain bugs, errors, or incomplete features. We are actively developing and improving the platform, and features may change without notice.
10. Privacy and Data Security
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your data.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ZinkUp is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability to you for any claims shall not exceed the amount you paid us in the past 12 months
- We are not responsible for loss of data, loss of revenue, or business interruption
12. Indemnification
You agree to indemnify and hold ZinkUp harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any rights of others.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
14. Termination
We reserve the right to suspend or terminate your access to ZinkUp at any time for violation of these Terms or for any other reason at our discretion.
Upon termination:
- Your access to the Service will end
- You may download your content within a reasonable timeframe
- We may delete your data after a grace period
15. Dispute Resolution
Governing Law:
These Terms are governed by the laws of England and Wales, United Kingdom.
Informal Resolution:
Before filing any legal action, you agree to contact us to attempt informal resolution.
16. Miscellaneous
Entire Agreement:
These Terms constitute the entire agreement between you and ZinkUp.
Severability:
If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver:
Our failure to enforce any right does not waive that right.
Assignment:
You may not assign these Terms without our consent. We may assign our rights to any successor.
